Private Limited Formation

A Private Limited Company (Pvt. Ltd.) is a popular business structure that offers legal protection and limited liability to its shareholders. Known for its credibility and ease of fund-raising, this structure is ideal for small and medium-sized businesses seeking growth and stability.

Setting up a Private Limited Company in India, requires minimum of two shareholders and two directors. One of the two directors must be an Indian resident.

Naming your company is an art— it's the foundation of your brand identity. It's essential to choose a name that's not only unique and original but also legally compliant. It’s essential to ensure that:

  • The name does not resemble any existing registered company.
  • It complies with the Emblems and Names (Prevention of Improper Use) Act, 1950. You can use the online portal to check name availability.
  • You provide a list of preferred names (up to six) that reflect the core business objectives.

Once you’ve chosen the name, you must submit an application to the Registrar of Companies (ROC) for incorporation, along with the Memorandum and Articles of Association, details of the directors, and other required documents.

Digital Signature Certificates are mandatory for all directors. After reviewing the application, the ROC will issue a Certificate of Incorporation with a Corporate Identity Number (CIN).
